“Independent” is one of the most over-used words in professional services. Almost every firm claims it. Fewer can explain what it actually means for the advice a client receives — or what it costs the firm to hold to it. This note is our attempt to be specific.

Two kinds of adviser

Broadly, there are advisers who sell and advisers who advise. The first group earns when a client buys something: a structure, a product, an ongoing service. Their counsel is often excellent, but it sits alongside an interest in a particular outcome. The second group earns for the advice itself, and has no stake in which door a client walks through. Both have their place. The problem arises when a client cannot tell which one they are speaking to.

The most valuable thing an independent adviser can say is “you don't need this” — and mean it.

Why the distinction matters across borders

In cross-border work the stakes are higher, because the products on offer — company structures, residency routes, banking arrangements — are complex and hard for a client to evaluate alone. An adviser who also supplies those products has every reason to recommend them. An adviser who does not can weigh them dispassionately, and can say plainly when the simplest answer is to do less.

How independence shows up in practice

It shows up in small, testable ways. Does the adviser ever recommend against a course of action that would have earned them a fee? Do they separate their advice from the delivery of any regulated service, and introduce a licensed third party rather than quietly wearing both hats? Are they willing to put the limits of their role in writing? Independence that cannot be evidenced is just a claim.

Our position

Basio advises. We do not sell the regulated corporate services our clients sometimes need; where those are required, we introduce a licensed provider and remain the client's adviser throughout. We hold our mandate deliberately narrow so that our counsel stays free of any interest other than the client's. It is a quieter way to work, and occasionally a less lucrative one — which is rather the point.

兩類顧問

大致而言,顧問分為從事銷售者與提供意見者。前者在客戶購買某項事物——一個架構、一件產品、一項持續服務——時方有收益。他們的意見往往十分出色,卻同時附帶著對特定結果的利害關係。後者則因意見本身而獲酬,對客戶最終選擇哪一扇門並無利害。兩者各有其位。問題在於當客戶無法分辨自己正與哪一類人交談之時。

獨立顧問所能說出最有價值的一句話,是「您並不需要這個」——而且是由衷之言。

此區別何以在跨境事務中尤為重要

在跨境工作中,風險更高,因為所提供的產品——公司架構、居留途徑、銀行安排——複雜難明,客戶難以獨自評估。同時供應該等產品的顧問,有充分理由加以推薦;不供應者,則能冷靜衡量,並能在最簡單的答案是「少做一點」時直言相告。

獨立性在實務中如何體現

它體現於細微而可查證之處。顧問會否曾建議客戶放棄某項本可為其帶來費用的做法?他們會否將意見與任何受規管服務的交付區分開來,引薦持牌第三方,而非默默身兼兩職?他們是否願意把角色的界限寫入文件?無法佐證的獨立,只是一種聲稱。

我們的立場

Basio 提供意見。我們不銷售客戶偶爾需要的受規管企業服務;如有需要,我們會引薦持牌服務提供者,並全程維持客戶顧問的身份。我們刻意將職責範圍保持精簡,使我們的意見不受客戶利益以外任何利害的影響。這是一種較為低調的工作方式,偶爾亦是較不豐厚的一種——而這恰恰正是重點所在。
